Agreement to Purchase Fully Licensed Products

  1. Introduction

This website is operated by the Canadian Thoracic Society. The terms “we”, “us”, and “our” refer to Canadian Thoracic Society. The use of our website is subject to the following terms and conditions of use, as amended from time to time (the “Terms”). The Terms are to be read together by you with any terms, conditions or disclaimers provided in the pages of our website. Please review the Terms carefully. The Terms apply to all users of our website, including without limitation, users who are browsers, customers, merchants, vendors and/or contributors of content. If you access and use this website, you accept and agree to be bound by and comply with the Terms and our Privacy Policy. If you do not agree to the Terms or our Privacy Policy, you are not authorized to access our website, use any of our website’s services or place an order on our website.

  1. Agreement to Purchase

CTS hereby grants to you a non-exclusive licence (the “Licence”) to acquire the rights to this document commencing on the date of purchase and expiring 364 days after purchase. You agree that you will not alter the document.
 

  1. Scope of Rights

Without limitation, the Rights include rights in Canada and the US, to use, copy and reproduce, without alterations for commercial or non-commercial use. If any derivative work based upon any of the document(s) is created by or for your use, CTS shall be entitled to own the copyright therein and the derivative work shall be subject to the terms of this agreement.

  1. CTS’s Representations and Warranties

CTS represents and warrants that:

(a) that the document is original and created by CTS or its employees and CTS is the owner of the entire right, title and interest in and to the licensed copyrights and that CTS has the sole right and authority to grant the Rights;

(b) the document does not violate any copyright, right to privacy or right of publicity or contain libellous matter;

(c) CTS will not interfere with the Licensee’s activities within the scope of this Agreement to Purchase;

(d) where applicable, the document is duly and validly copyright registered and no copyright registration of the document was fraudulently procured from either or both of the Canadian and U.S. copyright offices; and

(e) CTS has no knowledge of any circumstances which would render the copyrights invalid and is not aware of any infringing uses.

  1. Amendment, Modification or Waiver

No amendment to or modification of any of the terms of this Agreement shall be effective unless in writing and signed by each party. No waiver shall be effective unless in writing signed by the waiving party. The right of either party to require performance of any term of this Agreement shall not be affected by any prior waiver or course of dealing.

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the country of Canada
